Agreement to Terms
These Terms of Use ("Terms") constitute a legally binding agreement between you and Tantainment Limited (RC 455252), a private company incorporated under the Companies and Allied Matters Act 2020 and registered with the Corporate Affairs Commission of Nigeria, with its registered office at 10, Adeniyi Jakande Close, Off Adeniran Ogunsanya, Surulere, Lagos State, Nigeria, and its corporate office at 74 Oduduwa Crescent, GRA, Ikeja, Lagos State, Nigeria.
These Terms govern your access to and use of the Tantainment corporate website at tantainment.com ("the Website"), including all pages, subdomains, content, features, and services made available through the Website.
By accessing or using the Website, you agree to be bound by these Terms. If you do not agree, you must not access or use the Website.
Scope: These Terms apply exclusively to tantainment.com. The CHANCES gaming platform is governed by the separate CHANCES Terms of Service. Where the Website links to CHANCES, your use of that platform is governed by the CHANCES Terms of Service and Privacy Policy.
Tantainment is a subsidiary of Tantalizers Plc, a company listed on the Nigerian Exchange Group (NGX), operating in the entertainment sector encompassing film production, television production, live entertainment, and interactive gaming through its flagship product, CHANCES by Tantainment.
Section 02
Eligibility
The Website is intended for a general audience. There is no minimum age requirement for browsing the Website. However, if you submit personal data through the Website (for example, through a contact form, newsletter subscription, or job application), you represent that you are at least 18 years of age or that you have the consent of a parent or legal guardian.
The Website is accessible globally. Users outside Nigeria are solely responsible for determining whether their access to and use of the Website complies with all laws applicable in their jurisdiction.

Permitted Use
Tantainment grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Website for lawful, personal, and non-commercial purposes in accordance with these Terms.
You agree that you shall not:
- Use the Website for any unlawful purpose or in violation of these Terms
- Reproduce, duplicate, copy, sell, resell, distribute, or exploit any portion of the Website or its content for commercial purposes without prior written consent
- Modify, adapt, translate, reverse-engineer, decompile, or disassemble any part of the Website
- Use automated systems including bots, crawlers, scrapers, or spiders to access the Website beyond what a human could reasonably produce in the same period
- Attempt to gain unauthorised access to the Website, its servers, databases, or any connected systems or networks
- Introduce viruses, trojan horses, worms, logic bombs, or other malicious or technologically harmful material
- Use the Website to transmit unsolicited commercial communications (spam)
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity
- Remove, alter, or obscure any proprietary notices, copyright notices, or trade mark notices on the Website
- Use the Website in any manner that could damage, disable, overburden, or impair the Website or interfere with any other party's use

Intellectual Property
All content, materials, and technology forming part of or displayed on the Website including text, graphics, logos, images, photographs, audio, video, the Tantainment name and logo, the CHANCES name and logo, brand identity elements, page layouts, software, and all other proprietary materials are the exclusive property of Tantainment Limited or its licensors and are protected by the laws of the Federal Republic of Nigeria and applicable international intellectual property conventions.
Nothing in these Terms grants you any right, title, or interest in or to the Website or its content, other than the limited licence to access and use the Website as described in Section 3.
The Tantainment and CHANCES trade marks, logos, and brand elements may not be used in connection with any product or service that is not Tantainment's, in any manner likely to cause confusion, or in any manner that disparages or discredits Tantainment, without prior written consent.

User Submissions
Contact Forms, Enquiries & Applications
The Website may allow you to submit information through contact forms, newsletter subscriptions, job applications, partnership enquiries, and other interactive features ("User Submissions"). By making a User Submission, you represent and warrant that the information you provide is accurate, complete, and current; that you have the right to submit such information; and that your submission does not violate any applicable law, regulation, or third-party right.
Licence to User Submissions
By submitting content to Tantainment through the Website (including feedback, ideas, suggestions, or enquiries), you grant Tantainment a non-exclusive, worldwide, royalty-free, perpetual, irrevocable licence to use, reproduce, modify, and distribute such content for the purposes of responding to your submission and improving our services. This licence does not extend to personal data, which is processed in accordance with the Tantainment Website Privacy Policy.
No Obligation
Tantainment is under no obligation to respond to, act upon, or implement any User Submission. Tantainment shall not be liable for any failure to respond to or act upon any submission.

Third-Party Platforms & Integrations
Social Media & Third-Party Links
The Website may contain links to, or embedded content from, third-party websites and social media platforms including Meta (Facebook and Instagram), X (formerly Twitter), TikTok, LinkedIn, and YouTube. These links are provided for convenience and do not signify Tantainment's endorsement of the linked website or service. Tantainment is not responsible for the content, privacy practices, or terms of service of any third-party website or platform.
Meta Platform Integration
Tantainment utilises the Website as part of its registration with Meta Platforms, Inc. for the purpose of operating developer applications and integrations on the Meta platform. By interacting with Tantainment's services that integrate with Meta's platform, the following terms apply:
- Your use of Meta's platform features is subject to Meta's Terms of Service and Data Policy in addition to these Terms
- Tantainment accesses and processes data from Meta's platform APIs strictly in accordance with Meta's Platform Terms, Developer Policies, and Developer Data Use Policy
- Tantainment does not sell data obtained through Meta's APIs
- User data obtained through Meta's APIs is not used to build or augment user profiles without valid user consent
- You may revoke Tantainment's access to your Meta account data at any time through your Facebook or Instagram account settings
Other Platform Integrations
Tantainment may integrate with other third-party platforms and services including X, TikTok, LinkedIn, Google, and others for the purposes of content distribution, advertising, analytics, and developer functionality. Your interaction with such integrated services is subject to the respective platform's terms of service and privacy policy in addition to these Terms.
Third-Party Content
Tantainment does not control, endorse, or assume responsibility for any content, advertising, products, or services provided by third parties, whether accessed through links on the Website, embedded content, or API integrations. Your interaction with third-party content is at your own risk.

Privacy & Data Protection
Your use of the Website is governed by the Tantainment Website Privacy Policy, which describes how we collect, process, and protect your personal data in compliance with the Nigeria Data Protection Act 2023. The Privacy Policy is incorporated into these Terms by reference.
By using the Website, you acknowledge that you have read and understood the Tantainment Website Privacy Policy.

Disclaimers
Website Availability
The Website is provided on an "as is" and "as available" basis. To the maximum extent permitted by Nigerian law, Tantainment disclaims all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy. Tantainment does not warrant that the Website will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
Content Accuracy
While Tantainment uses reasonable efforts to ensure that the information published on the Website is accurate and current, we make no representation or warranty that the content is complete, accurate, reliable, or up to date. Limitation of Liability
To the maximum extent permitted by the laws of the Federal Republic of Nigeria:
- Tantainment shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to your use of, or inability to use, the Website
- Tantainment shall not be liable for any damage or loss arising from your reliance on any content on the Website, unauthorised access to your data, third-party content, or any force majeure event
- Tantainment's total aggregate liability for all claims arising from or related to these Terms shall not exceed One Hundred Thousand Nigerian Naira (₦100,000)
Nothing in this Section shall exclude or limit Tantainment's liability for death or personal injury caused by Tantainment's negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under Nigerian law.
Section 10
Indemnification
You agree to indemnify, defend, and hold harmless Tantainment, Tantalizers Plc, their respective directors, officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to your use of the Website, your breach of these Terms, your violation of any applicable law or regulation, or your infringement of any third-party right.
Section 11
Modifications to These Terms
Tantainment reserves the right to amend these Terms at any time. Material changes shall be communicated by publishing the updated Terms on the Website with a revised "Last Updated" date.
Your continued use of the Website after the effective date of any amendment constitutes your acceptance of the amended Terms. If you do not agree with any amendment, you must cease using the Website.
Section 12
Modifications to the Website
Tantainment reserves the right to modify, suspend, or discontinue the Website or any part thereof, temporarily or permanently, at any time and without notice. Tantainment shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Website.
Section 13
Termination
Tantainment may restrict, suspend, or terminate your access to the Website at any time, acting reasonably and in compliance with applicable law, for any reason including breach of these Terms or suspected unlawful activity.
Sections that by their nature should survive termination including Sections 4 (Intellectual Property), 8 (Disclaimers), 9 (Limitation of Liability), 10 (Indemnification), 14 (Governing Law), and 15 (Dispute Resolution) shall survive.
Section 14
Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Lagos State and the Federal Republic of Nigeria, including the Nigeria Data Protection Act 2023 and all applicable subsidiary legislation.
Any dispute arising from or in connection with these Terms or the Website shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.
Section 15
Dispute Resolution
In the event of any dispute arising from or relating to these Terms or the Website, you agree to first attempt to resolve the dispute informally by contacting us at support@tantainment.com.
If the dispute is not resolved informally within 30 calendar days, either party may refer the dispute to mediation administered by the Lagos Multi-Door Courthouse. The costs of mediation shall be borne equally by both parties.
If mediation fails within 60 days, the dispute shall be referred to and finally resolved by arbitration under the Arbitration and Mediation Act 2023 of the Federal Republic of Nigeria, administered by the Lagos Court of Arbitration. The arbitration shall be conducted in English by a sole arbitrator. The seat of arbitration shall be Lagos, Nigeria. The arbitrator's decision shall be final and binding.
Section 16
General Provisions
Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
Waiver
No failure or delay by Tantainment in exercising any right under these Terms shall constitute a waiver of that right.
Entire Agreement
These Terms, together with the Tantainment Website Privacy Policy, constitute the entire agreement between you and Tantainment regarding the Website. For the CHANCES gaming platform, the CHANCES Terms of Service, CHANCES Privacy Policy, and CHANCES Cookie Policy apply separately.
Assignment
You may not assign or transfer any rights or obligations under these Terms. Tantainment may assign its rights and obligations to an affiliate or successor entity upon notice.
No Third-Party Beneficiaries
These Terms do not confer any rights on any person other than you and Tantainment, except that the persons identified in Section 10 are intended third-party beneficiaries of that Section.
